ABC of companies 2600-ABCS-OG
Desirable but not necessary - study in civil / economic law / finance / accounting. Recommended and desirable: Practice in managing business entities.
The student becomes familiar with the basic knowledge of economic law. They will learn about the specifics of different types of companies. He will be able to navigate efficiently in the field of activities of company governing bodies. They will learn about the creation and specificity of documents: companies, management boards and supervisory boards. They will learn about the responsibilities of the members of the management board and the supervisory board.
Learning outcomes - KNOWLEDGE: Students will learn:
Terms: entrepreneur, enterprise, company, power of attorney.
Mechanisms for transforming business into capital companies,
Establishing and running a business by entrepreneurs (individuals entered in the business register, partners in a civil partnership, partnerships and capital companies from the Commercial Companies Code
Management of legal entities. In particular, the management of limited liability companies and joint stock companies.
Decision making by company bodies
Sale of shares / stocks
Legal and financial mechanisms. Increase of the share capital, redemption of shares / stocks
SKILLS:
Identifying and classifying basic concepts related to: entrepreneur, company management, legal and financial aspects of the functioning of business entities.
Identifying and "navigating" in creating and changing founding contracts of business entities,
Creating a system of powers of attorney
COMPETENCES
Management, supervision, performance of "ownership" functions of business entities.
