Legal aspects of managerial decisions 2637-EMBA-EN-LAMD
The subject of the course is to present the legal environment for the functioning of the business. The course covers the most important Polish and EU legal regulations concerning running a business in various forms, including companies, as well as legal aspects of financing the business. Tax aspects of business activity are also included. The subject of the course is also civil law issues, including contracts and pursuing claims. An important element of the course is the discussion of the legal aspects of performing managerial functions, including the manager's responsibility for the results of his/her work.

After completing the course, the student should:
• know key legal concepts regarding the functioning of enterprises
• distinguish legal forms of conducting business activity and select an adequate form of business activity in a given factual state
• identify legal aspects of obtaining financing for business
• know the forms of taxation of business activity
• be familiar with the public law forms of support for investment and innovation activities and choose the appropriate form for a given type of activity
• identify key elements of contracts and safeguards against contractual risk
• identify legal and tax risk within the framework of business activity
• indicate ways to protect the manager against the risk of liability for the activities performed
