Legal aspects of managerial decisions 2637-EMBA-EN-LAMD
The subject of the course is to present the legal environment for the functioning of the organization. The course is focused on the issue crucial from the perspective of the corporate governance and compliance. The course covers the most important Polish and EU legal regulations concerning running a business in various forms, including companies, as well as legal aspects of financing the business. Tax aspects of business activity are also included. An important element of the course is the discussion of the legal aspects of performing managerial functions, including the manager's responsibility and due diligence issues.

After completing the course, the student should:
• identify crucial areas of corporate governance and compliance
• demonstrate the ability to design and implement a corporate governance framework in an organization
• identify crucial areas of legal and risk within the organization
• distinguish legal forms of conducting business activity and select an adequate form of business activity in a given environment
• identify key legal aspects of investments and the process of preparing a company to raise capital
• know the forms of taxation of business activity

• be familiar with the tax forms of support for investment and innovation and choose the appropriate form for a given type of activity
• indicate ways to protect the manager against the risk of liability for the activities performed.
Assessment criteria
• group project – 70%
• case study – 30%.
