Corporate and Business Law (ACCA) 2400-ZEWW940(ACCA)
The following topics will be covered during the course:
1. Basic elements of legal systems, including commercial, constitutional, international, international commercial, conflict of laws (resolving legal conflicts), and alternative dispute resolution mechanisms.
2. International commercial transactions – introduction to the United Nations Convention on Contracts for the International Sale of Goods, seller and buyer obligations, mutual provisions, and ICC Incoterms.
3. Transport and payment in international commercial transactions – transport documents and payment methods.
4. Formation and organization of business entities – agency law, partnerships and corporations, legal personality, company formation.
5. Company capital and financing – share capital, loan capital, capital maintenance, and dividend rights.
6. Corporate governance in commercial companies – management, company roles, supervision, shareholder meetings, and resolutions.
7. Bankruptcy law – insolvency and restructuring proceedings.
8. Criminal liability for violations of commercial law regulations.

Learning outcomes
KNOWLEDGE:
Upon completing the course, the student is able to identify essential elements of various legal systems, including major sources of law, the need for international legal regulation, and can explain the role of international organizations in promoting and regulating international trade, as well as the role of international arbitration as an alternative to judicial rulings. The student is aware of the legal implications related to bankruptcy law and to unfair and criminal corporate behaviors.
SKILLS:
The student can recognize and apply relevant provisions of the United Nations Convention on Contracts for the International Sale of Goods and explain various methods of financing international business transactions. They can identify different types of international business structures and distinguish between alternative forms of business organization. The student is aware of different types of capital and company financing and can describe and explain how companies are managed, administered, and regulated.
ATTITUDES:
The student refines acquired knowledge and skills to expand them in the scope required for professional work.
Assessment criteria
The course is passed by obtaining 50% of the possible points, including a positive grade on the final written assessment. Points are awarded in the following categories:
1. Exam – 60 points – 80% of the course grade
The exam consists of:
o multiple-choice questions (each worth one or two points)
o open-ended questions (each worth 5 points.
The passing threshold is 50% (30 points).
2. Homework on the Moodle platform – 20% of the grade
3. BONUS: Participation in exercises – opportunity for an additional 10% of points
