The scope of the tutorials covers the following issues:
Introduction to company law (the concept of a company, civil law partnership, silent partnership, partnerships and capital companies, articles of association, the legal relationship of a company).
Formation of various types of companies. Company in organisation.

Characteristics and formation of a limited liability company (sp. z o.o.).
Capital matters in a limited liability company (contributions, share capital – concept, sources, increase and decrease).

Dissolution, liquidation and bankruptcy of a limited liability company.
Characteristics and formation of a joint-stock company (S.A.).

Learning outcomes
Upon completion of the course (tutorials and lecture), the student will have acquired basic knowledge of the concepts and institutions of commercial law.
The student is also expected to demonstrate the ability to independently interpret legal acts, taking into account doctrinal views and the current case law of the Supreme Court.
Assessment criteria
The completion of the tutorials is governed by the rules established by the instructor and communicated to the students no later than during the first class of the given semester.
